The Standards That Guide How VOV Does Business

This Code sets out the ethical, legal and conduct standards VOV expects across its operations, covering integrity, compliance, workplace conduct and business relationships.

Introduction

This Code of Business Conduct (“Code”) establishes the ethical principles, professional standards and business practices expected from employees, directors, officers, consultants, contractors, suppliers, authorised dealers, distributors, service partners and any individual or organisation conducting business with VOV by Sumea International.

This Code applies across all VOV operations conducted through:

Compliance with this Code is required in addition to all obligations imposed under the applicable laws of the United Arab Emirates, including the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL), Federal Decree-Law No. 14 of 2023 Concerning Modern Technology-Based Trade, Federal Decree-Law No. 15 of 2020 on Consumer Protection (as amended), applicable Electronic Transactions legislation, and other applicable laws and regulations of the United Arab Emirates applicable in United Arab Emirates (UAE) and any other applicable legal or contractual requirements.

Purpose

The purpose of this Code is to promote:

  • Ethical business practices.
  • Professional conduct.
  • Legal compliance.
  • Fair commercial dealings.
  • Responsible decision-making.
  • Respectful workplace behaviour.
  • Protection of the VOV brand and reputation.

Every individual associated with VOV is expected to act honestly, responsibly and with integrity.

Compliance with Laws

All persons acting on behalf of VOV shall comply with:

  • Applicable laws and regulations.
  • Consumer protection requirements.
  • Competition laws.
  • Employment legislation.
  • Health and safety requirements.
  • Data protection obligations.
  • Environmental requirements where applicable.

Failure to comply with legal obligations may result in disciplinary or contractual action.

Integrity and Ethical Conduct

Business decisions shall be made honestly, fairly and in good faith.

Individuals associated with VOV shall:

  • Act with integrity.
  • Avoid deceptive conduct.
  • Provide accurate information.
  • Maintain professional behaviour.
  • Respect contractual obligations.
  • Conduct business responsibly.

Misrepresentation, dishonesty or unethical conduct will not be tolerated.

Respect in the Workplace

VOV is committed to maintaining a professional and respectful working environment.

All individuals should:

  • Treat others with dignity.
  • Promote equal opportunity.
  • Respect diversity.
  • Maintain professional communication.
  • Support a safe working environment.

Harassment, discrimination, intimidation or abusive behaviour is inconsistent with this Code.

Conflicts of Interest

Business decisions should always be made in the best interests of VOV.

Individuals should avoid situations where personal interests may improperly influence business decisions.

Potential conflicts should be disclosed promptly through the appropriate internal reporting process.

Anti-Bribery and Corruption

VOV maintains a zero-tolerance approach towards bribery and corruption.

No individual acting on behalf of VOV shall:

  • Offer improper payments.
  • Request improper benefits.
  • Accept unlawful advantages.
  • Influence business decisions through unethical means.
  • Facilitate corrupt practices.

Business relationships must be conducted lawfully and transparently.

Gifts and Hospitality

Reasonable business hospitality may be acceptable where permitted by applicable law and internal procedures.

However, gifts or hospitality must never:

  • Influence business decisions.
  • Create improper obligations.
  • Compromise professional judgement.
  • Violate applicable laws.

Where uncertainty exists, guidance should be obtained before accepting or providing gifts.

Confidential information obtained through business activities must be protected.

This includes:

Confidential information must not be disclosed without proper authorisation.

Protection of Company Assets

Company assets should be used responsibly and only for legitimate business purposes.

Assets include:

  • Information systems.
  • Intellectual property.
  • Documents.
  • Financial resources.
  • Digital systems.
  • Business records.

Unauthorised use or misuse of company assets is prohibited.

Individuals handling personal or business information must comply with applicable privacy and data protection requirements.

Information should be collected, accessed, processed and stored only where authorised and necessary for legitimate business purposes.

Fair Competition

VOV supports lawful and fair competition.

Employees and business partners shall not engage in:

  • Anti-competitive agreements.
  • Market manipulation.
  • False advertising.
  • Misleading commercial practices.
  • Unlawful market restrictions.

Competition should be based upon product quality, service and professional conduct.

Product Quality and Customer Commitment

Employees and business partners should:

  • Support after-sales service.
  • Report quality concerns promptly.

Supplier and Business Partner Conduct

Suppliers, contractors, distributors and authorised dealers are expected to maintain standards consistent with this Code.

Business partners should:

  • Protect confidential information.
  • Support responsible business practices.

VOV may review compliance where appropriate.

Environmental Responsibility

VOV encourages responsible business practices that minimise unnecessary environmental impact and promote efficient use of resources wherever reasonably practicable.

Employees and business partners are encouraged to comply with applicable environmental regulations.

Reporting Concerns

Individuals who become aware of conduct that may violate this Code are encouraged to report the matter through appropriate management or authorised company representatives.

Reports made in good faith will be reviewed appropriately in accordance with applicable procedures.

Non-Retaliation

VOV does not support retaliation against individuals who raise genuine concerns in good faith regarding suspected misconduct or legal non-compliance.

Reports should be made honestly and responsibly.

Violations of this Code

Failure to comply with this Code may result in appropriate action, including:

  • Internal review.
  • Corrective measures.
  • Disciplinary action.
  • Contractual remedies.
  • Suspension of business relationships.
  • Termination where appropriate.
  • Legal action where permitted under applicable law.

Each matter will be assessed based on its individual circumstances.

Governing Law

This Code shall be interpreted and applied in accordance with the applicable laws of the United Arab Emirates, including the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL), Federal Decree-Law No. 14 of 2023 Concerning Modern Technology-Based Trade, Federal Decree-Law No. 15 of 2020 on Consumer Protection (as amended), applicable Electronic Transactions legislation, and other applicable laws and regulations of the United Arab Emirates applicable in United Arab Emirates (UAE) together with any applicable contractual obligations governing the relevant business relationship.
