Terms Governing VOV Dealers and Distributors Network

These Dealer & Distributor Terms (“Terms”) govern the appointment, operation and ongoing relationship between VOV by Sumea International and its authorised dealers, distributors, wholesalers and business partners.

These Terms apply to all authorised commercial partners purchasing, distributing, promoting or supplying VOV products through approved business channels.

These Terms are governed by the applicable laws of the United Arab Emirates, including the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL), Federal Decree-Law No. 14 of 2023 Concerning Modern Technology-Based Trade, Federal Decree-Law No. 15 of 2020 on Consumer Protection (as amended), applicable Electronic Transactions legislation, and other applicable laws and regulations of the United Arab Emirates applicable in United Arab Emirates (UAE).

Appointment as an authorised VOV dealer or distributor is granted solely at the discretion of VOV.

Submission of an application, business enquiry or commercial proposal does not create any legal right to appointment.

Authorisation becomes effective only after written approval by VOV.

Businesses seeking dealership or distribution may be required to provide information including:

• Business registration details.
• Trade licence.
• Tax registration where applicable.
• Business profile.
• Distribution capability.
• Sales infrastructure.
• Warehouse facilities where applicable.
• Market coverage.
• Financial information where reasonably required.

VOV may conduct verification before granting authorisation.

Unless expressly agreed in writing, all dealership and distributorship appointments are:

• Non-exclusive.
• Non-transferable.
• Non-assignable.
• Territory specific where applicable.
• Subject to periodic review.

VOV reserves the right to appoint multiple dealers or distributors within the same market.

Product supply is subject to:

• Product availability.
• Order acceptance.
• Payment verification.
• Inventory allocation.
• Operational requirements.

VOV does not guarantee uninterrupted product availability.

Dealer and distributor pricing may differ from retail pricing.

Commercial pricing is determined by VOV based upon factors including:

• Product category.
• Purchase volume.
• Commercial arrangements.
• Territory.
• Business relationship.

VOV reserves the right to revise pricing without prior notice unless otherwise agreed in writing.

Authorised dealers and distributors are expected to:

• Maintain professional business practices.
• Protect the reputation of the VOV brand.
• Provide accurate product information.
• Comply with applicable laws.
• Maintain ethical sales practices.
• Cooperate with VOV where reasonably required.

Authorised dealers may use approved VOV trademarks, logos and marketing materials only after receiving written authorisation.

Dealers and distributors shall not:

• Modify the VOV logo.
• Create unauthorised promotional materials.
• Register domain names using the VOV brand.
• Misrepresent their relationship with VOV.
• Use expired branding materials.

All intellectual property remains the exclusive property of VOV.

Dealers and distributors shall accurately represent:

• Product specifications.
• Product features.
• Product capabilities.
• Warranty information.
• Safety information.
• Installation requirements.

No unauthorised statements or guarantees may be made on behalf of VOV.

Where authorised, dealers may sell VOV products through approved online sales channels.

Unauthorised online marketplaces or digital platforms may not be used without prior written approval from VOV.

Dealers and distributors are expected to:

• Respond professionally to customer enquiries.
• Assist customers with warranty procedures.
• Refer technical matters to VOV where appropriate.
• Maintain accurate customer communications.

Warranty approval remains subject to the official VOV Warranty Policy.

Product availability may vary depending on:

• Inventory.
• Manufacturing schedules.
• Logistics.
• Import requirements.
• Operational conditions.

VOV does not guarantee continuous availability of every product.

Dealers and distributors shall comply with:

• Applicable laws.
• Consumer protection requirements.
• Import and export regulations.
• Product safety requirements.
• Competition laws.
• Anti-bribery legislation where applicable.

Commercial information provided by VOV, including pricing, business strategies, product roadmaps and commercial documentation, shall be treated as confidential unless disclosure is authorised in writing.

All trademarks, logos, product catalogues, manuals, product images, website content and other intellectual property remain the exclusive property of VOV or its licensors.

Nothing contained in these Terms transfers ownership of any intellectual property.

VOV may suspend or terminate an authorised dealership or distributorship where:

• These Terms are breached.
• Applicable laws are violated.
• False information is provided.
• Brand misuse occurs.
• Intellectual property is infringed.
• Fraudulent activity is identified.
• Business conduct damages the reputation of VOV.

Termination shall not affect rights or obligations accrued before termination.

Except where prohibited by applicable law, VOV shall not be liable for indirect, incidental or consequential losses arising from commercial dealership or distribution activities.

Nothing contained in these Terms limits statutory rights that cannot legally be excluded.

Any disputes shall be resolved in accordance with the competent courts or dispute resolution procedures recognised under applicable law.
