Terms Governing Business and Commercial Purchases

These B2B Purchase Terms (“Terms”) govern the purchase of products by businesses, corporate customers, dealers, distributors, wholesalers, institutions and commercial organisations purchasing products from VOV by Sumea International.

These Terms apply to commercial purchases made through:

These Terms are governed by the applicable laws of the United Arab Emirates, including the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL), Federal Decree-Law No. 14 of 2023 Concerning Modern Technology-Based Trade, Federal Decree-Law No. 15 of 2020 on Consumer Protection (as amended), applicable Electronic Transactions legislation, and other applicable laws and regulations of the United Arab Emirates applicable in United Arab Emirates (UAE).

These Terms apply to purchases made for commercial, institutional, industrial or business purposes and are separate from purchases made by individual retail consumers.

Commercial purchases may include:

• Bulk product orders.
• Corporate procurement.
• Hospitality purchases.
• Office equipment purchases.
• Government procurement where applicable.
• Educational institutions.
• Healthcare facilities.
• Dealer and distributor purchases.

VOV may request verification before accepting commercial orders.

Business customers may be required to provide:

• Trade Licence.
• Company registration documents.
• VAT registration where applicable.
• Authorised purchaser details.
• Delivery information.
• Billing information.
• Business contact information.

Additional documentation may be requested where reasonably necessary.

Written quotations issued by VOV are provided for informational and commercial purposes only.

Unless otherwise stated in writing, quotations:

• Are subject to product availability.
• May be revised before order acceptance.
• Do not guarantee inventory allocation.
• Are subject to applicable taxes and regulatory charges where required.
• Do not constitute a binding contract until accepted by VOV.

Business customers may submit official purchase orders in accordance with VOV procurement procedures.

Submission of a purchase order does not automatically constitute acceptance by VOV.

Order acceptance remains subject to:

• Product availability.
• Commercial approval.
• Payment verification where applicable.
• Internal operational review.

Commercial pricing may vary depending upon:

• Product category.
• Purchase quantity.
• Commercial relationship.
• Distribution territory.
• Contractual arrangements.
• Promotional programmes where applicable.

VOV reserves the right to revise pricing before order acceptance unless otherwise agreed in writing.

Payment terms applicable to commercial customers shall be determined by:

• Written quotation.
• Commercial agreement.
• Approved credit arrangement.
• Purchase contract.
• Official invoice.

Where no separate agreement exists, payment shall be made in accordance with the payment terms specified by VOV.

Business customers remain responsible for applicable:

• Value Added Tax (VAT).
• Customs duties.
• Import charges.
• Regulatory fees.
• Government taxes.

Where required by applicable law.

Commercial orders remain subject to inventory availability.

Where inventory is limited, VOV may:

• Supply available quantities.
• Schedule future deliveries.
• Recommend alternative products.
• Propose revised delivery schedules.

Product allocation remains at the discretion of VOV.

Commercial deliveries are arranged according to:

• Product availability.
• Delivery destination.
• Order quantity.
• Logistics capability.
• Operational schedules.

Estimated delivery dates are provided for planning purposes and may vary depending upon operational circumstances.

Business customers should inspect products immediately upon delivery.

Any visible damage, shortages or incorrect deliveries should be reported promptly together with supporting documentation where reasonably available.

Commercial purchases are covered only by the applicable VOV Warranty Policy.

Warranty claims remain subject to:

• Product inspection.
• Warranty eligibility.
• Technical assessment.
• Compliance with warranty conditions.

Commercial return requests are reviewed individually.

Where a verified manufacturing defect, incorrect delivery or other eligible issue is confirmed, VOV may determine an appropriate resolution in accordance with the applicable Warranty Policy and Returns & Refund Policy.

Business customers are responsible for:

• Providing accurate purchase information.
• Ensuring authorised purchasing approval.
• Maintaining accurate delivery details.
• Inspecting delivered products.
• Using products in accordance with supplied instructions.
• Complying with applicable laws and regulations.

All trademarks, product catalogues, manuals, technical documentation, product images, marketing materials and website content remain the exclusive intellectual property of VOV or its licensors.

Commercial purchases do not grant any licence to reproduce, distribute or commercially exploit VOV intellectual property unless expressly authorised in writing.

Except where prohibited by applicable law, VOV shall not be liable for indirect, incidental, special or consequential losses arising from commercial transactions, delayed deliveries, operational interruptions or business losses.

Nothing contained in these Terms limits statutory rights that cannot legally be excluded.

VOV shall not be responsible for delays or failure to perform obligations resulting from circumstances beyond its reasonable control, including:

• Natural disasters.
• Government actions.
• Customs delays.
• Transportation disruptions.
• Supply chain interruptions.
• Labour disputes.
• Public emergencies.
• Technical failures.

Performance shall resume as soon as reasonably practicable following the removal of the affected circumstances.

These Terms shall be governed by the applicable laws of the United Arab Emirates, including the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL), Federal Decree-Law No. 14 of 2023 Concerning Modern Technology-Based Trade, Federal Decree-Law No. 15 of 2020 on Consumer Protection (as amended), applicable Electronic Transactions legislation, and other applicable laws and regulations of the United Arab Emirates applicable in United Arab Emirates (UAE).

Any disputes arising under these Terms shall be resolved before the competent courts or dispute resolution authorities recognised under applicable law.
